These Terms of Service ("Terms") are entered into between Athenic AI and its affiliates (together, "Athenic AI," "we," "our," or "us") and any entity or person who accesses or uses the Site or Service ("you" or "your").
Athenic AI operates www.Athenic.com and related websites (the "Site") and provides AI-powered analytics, reporting, dashboards, and related software and services, including related applications, integrations, and functionality (collectively, the "Service").
These Terms govern your access to and use of the Site and Service, including where you create an account, connect third-party data sources or integrations, upload data or content, submit prompts or queries, generate analytics or insights, or otherwise interact with the Service.
By accessing or using the Service, or by clicking a button or checking a box marked "I Agree" (or something similar), you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, whether or not you are a registered user of the Service. Athenic AI reserves the right to modify these Terms and will provide notice of material changes as described below.
PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

The Site, Service, and all content, software, technology, functionality, AI models, algorithms, analytics methodologies, interfaces, workflows, documentation, and other materials made available by Athenic AI through the Service, except as otherwise expressly provided in these Terms, including without limitation text, graphics, designs, code, software, reports, dashboards, visualizations, trademarks, logos, trade names, service marks, domain names, and other intellectual property (collectively, the "Athenic AI Content"), are owned by or licensed to Athenic AI and are protected by applicable intellectual property and other laws.
Except as expressly provided in these Terms, nothing in these Terms grants you any right, title, or interest in or to the Site, Service, or Athenic AI Content, including any intellectual property rights therein. All rights not expressly granted are reserved by Athenic AI and its licensors. You may not sell, license, sublicense, distribute, modify, reproduce, publicly display, publicly perform, publish, reverse engineer, decompile, create derivative works from, or otherwise exploit any portion of the Site, Service, or Athenic AI Content except as expressly permitted under these Terms or with Athenic AI's prior written consent.
Subject to your compliance with these Terms and any applicable fees or usage limitations, Athenic AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Site and Service during the applicable subscription or authorized access period solely for your internal business purposes and only in accordance with these Terms.
You may use the Service only as expressly permitted by the functionality of the Service and these Terms. Athenic AI and its licensors reserve all rights not expressly granted herein in and to the Site, Service, and Athenic AI Content including all related intellectual property rights, improvements, enhancements, modifications, derivatives, software, models, algorithms, analytics methodologies, and related technology. Athenic AI may suspend, restrict, or terminate your access to the Site or Service at any time in accordance with these Terms.
While using the Site or Service, you agree to comply with all applicable laws, rules, and regulations. Your use of the Site and Service is conditioned on your compliance with these Terms. Any failure to comply may result in suspension or termination of your access to the Site or Service at Athenic AI's sole discretion.
In using the Site or Service, you agree that you will not, and will not allow or authorize any third party to:

To access certain features or functionality of the Site or Service, you may be required to register for an account and provide certain information requested during the registration process, including your name, email address, company information, payment information, or other account-related information. You agree to provide accurate, current, complete, and updated information in connection with your account and use of the Service. You are responsible for all activities that occur under your account or credentials ("User Account"), including any activity conducted by your employees, contractors, agents, or other authorized users. You are responsible for maintaining the confidentiality and security of your User Account credentials and for restricting unauthorized access to your account. We encourage you to use strong passwords and appropriate security measures to protect your User Account. Athenic AI is not responsible for unauthorized access to your User Account or unauthorized use of the Service resulting from your failure to adequately safeguard account credentials or systems. You will promptly notify Athenic AI if you become aware of any unauthorized access to or use of your User Account or any other actual or suspected security breach involving the Site or Service. You may not access or use another user's account without authorization.
Athenic AI reserves the right to charge fees for access to or use of all or any portion of the Site or Service, including subscription fees, prepaid credits, usage-based fees, feature-based pricing, or other pricing models that may be offered from time to time. You agree to pay all applicable fees, charges, taxes, and other amounts associated with your access to or use of the Service in accordance with the pricing, billing terms, and payment methods presented to you at the time of purchase or account registration. Payments may be processed through third-party payment processors. You authorize Athenic AI and its payment processors to charge your designated payment method for all applicable fees and charges.
Except as otherwise expressly provided in these Terms or by Athenic AI in writing, all fees and charges are non-refundable and non-cancelable. Athenic AI may modify pricing, billing structures, usage limits, prepaid credit structures, subscription plans, or payment terms at any time. Any pricing changes will apply prospectively unless otherwise stated. You are responsible for all applicable taxes, duties, levies, or similar governmental assessments arising from your use of the Site or Service, excluding taxes based solely on Athenic AI's net income. If your payment method fails or your account becomes past due, Athenic AI may suspend or terminate your access to the Site or Service.
By accessing or using the Site or Service, you consent to receiving electronic communications from Athenic AI, including notices, disclosures, agreements, updates, security notifications, transactional communications, support communications, and other information relating to the Site or Service. Athenic AI may provide communications to you by email, through the Site or Service, through your User Account, or through other electronic means. You are responsible for maintaining accurate and current contact information associated with your User Account and for ensuring that you are able to receive communications from Athenic AI. You agree that electronic communications from Athenic AI satisfy any legal requirement that such communications be in writing. You may opt out of certain marketing or promotional communications as described in the applicable communication or as otherwise permitted by applicable law.
You may upload, submit, connect, transmit, or otherwise make available data, content, files, datasets, prompts, queries, inputs, information, or other materials through the Site or Service ("Input"). The Service may generate analytics, reports, dashboards, visualizations, summaries, recommendations, insights, or other outputs based on your Input and use of the Service ("Output"). Input and Output are collectively referred to as "Content." You are responsible for Content, including ensuring that you have all rights, licenses, permissions, and authority necessary to provide, use, process, and disclose Input in connection with the Service and that your Content does not violate these Terms, applicable law, or any third-party rights, including intellectual property, privacy, confidentiality, or contractual rights.
As between you and Athenic AI, and to the extent permitted by applicable law:

You further acknowledge and agree that Athenic AI and its licensors retain ownership of the Site, Service, Athenic AI Content, underlying software, models, algorithms, analytics methodologies, improvements, modifications, derivatives, interfaces, workflows, aggregated or deidentified data, telemetry, usage analytics, and related technology. Subject to these Terms, you grant Athenic AI a non-exclusive, worldwide, limited right to host, access, use, process, transmit, store, modify, display, and otherwise process Content as necessary to provide, operate, maintain, secure, support, improve, analyze, and develop the Site and Service, comply with applicable law, enforce these Terms and related policies, and maintain the safety and integrity of the Service. You represent, warrant, and covenant that you will not use the Service to upload, store, process, or transmit protected health information regulated by HIPAA or other highly sensitive or regulated information unless expressly authorized by Athenic AI in writing.
Athenic AI cares about the integrity and security of Content and information processed through the Service and implements commercially reasonable administrative, technical, and organizational measures designed to help protect the Service and Content against unauthorized access, disclosure, alteration, loss, misuse, or destruction. However, no method of transmission over the internet or method of electronic storage is completely secure or error-free, and Athenic AI cannot guarantee that unauthorized third parties will never be able to defeat security measures or improperly access, use, or disclose Content or other information. You are responsible for maintaining appropriate security and protection of your systems, accounts, credentials, Input, and Output, including maintaining appropriate backups and access controls where applicable. You acknowledge and agree that you provide and use Content through the Service at your own risk.
Athenic AI may make available alpha, beta, preview, early access, experimental, or evaluation features, functionality, integrations, models, or services ("Beta Features"). Beta Features may be modified, suspended, or discontinued at any time without notice and may not be as reliable, secure, or available as other portions of the Service. Beta Features are provided "as is" and may be subject to additional limitations or reduced functionality.
We appreciate your feedback and suggestions regarding the Site or Service, and you agree that Athenic AI may use them without restriction or compensation to you.
You represent and warrant that: (i) you are legally capable of entering into these Terms; and (ii) if you access or use the Site or Service on behalf of a company, organization, or other entity, you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity. The Site and Service are not directed to children under the age of 13, and you may not access or use the Site or Service if you are under 13 years of age.
You may not access, use, export, re-export, transfer, or otherwise use the Site or Service except as authorized by United States law and the laws of any other applicable jurisdiction. You represent, warrant, and covenant that: (i) you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to U.S. trade sanctions or embargoes; (ii) you are not identified on any U.S. government restricted-party or denied-party list; and (iii) you will not use the Site or Service in violation of applicable export control, sanctions, or trade compliance laws or regulations. You are responsible for compliance with all applicable export control, sanctions, and trade laws relating to your access to and use of the Site or Service.
The Site or Service may contain links to, integrations with, or functionality connecting to third-party websites, applications, databases, platforms, products, services, or content that are not owned or controlled by Athenic AI. Athenic AI does not control, endorse, or assume responsibility for any third-party websites, applications, integrations, services, products, data sources, or content, including their availability, security, accuracy, legality, privacy practices, or functionality. If you access, connect to, enable, or use any third-party service, integration, or data source in connection with the Service, you do so at your own risk and subject to the terms, conditions, and privacy policies of those third parties. You acknowledge and agree that Athenic AI is not responsible or liable for any loss, disclosure, modification, corruption, or unavailability of Input, Output, Content, or other information resulting from your use of third-party services or integrations. You are responsible for obtaining and maintaining all rights, authorizations, consents, credentials, API keys, access permissions, and appropriate access controls necessary for Athenic AI to access, process, and interact with any third-party services, integrations, databases, applications, or data sources you connect to the Service.
THE SITE, SERVICE, OUTPUT, AND ALL RELATED FUNCTIONALITY, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ATHENIC AI DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND OTHER TERMS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, OR THAT THE SERVICE OR OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETE, OR SUITABLE FOR YOUR INTENDED USE. WITHOUT LIMITING THE FOREGOING:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER ATHENIC AI NOR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, OUTPUT, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE OR SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF ATHENIC AI ARISING OUT OF OR RELATING TO THE SITE OR SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100); OR (B) THE AMOUNTS ACTUALLY PAID BY YOU TO ATHENIC AI FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Athenic AI and its affiliates, licensors, service providers, contractors, officers, directors, employees, agents, and representatives from and against any claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) your access to or use of the Site or Service; (ii) your Input, Content, or use of the Service; (iii) your violation of these Terms; (iv) your violation of any applicable law, regulation, or third-party right, including intellectual property, privacy, confidentiality, or other proprietary rights; (v) your unauthorized, unlawful, misleading, or improper use of the Site, Service, or Output; (vi) Content submitted, uploaded, connected, transmitted, or otherwise made available through your account; (vii) your use of third-party integrations, services, or data sources in connection with the Service; or (viii) any access to or use of the Service through your User Account or credentials. Athenic AI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Athenic AI's defense of such claims.
Athenic AI may modify, update, enhance, discontinue, suspend, or change any aspect of the Site or Service, including features, functionality, integrations, AI-powered capabilities, models, interfaces, dashboards, visualizations, Output functionality, usage limits, pricing structures, or technical specifications, at any time and in its sole discretion. Athenic AI may also suspend, restrict, or discontinue all or part of the Site or Service at any time, with or without notice. Without limiting other available remedies, Athenic AI may suspend or terminate your access to the Site or Service if Athenic AI reasonably believes that: (i) you have violated these Terms; (ii) your use of the Site or Service creates security, legal, operational, or reputational risk; (iii) your use may adversely impact the Site, Service, other users, or third parties; or (iv) suspension or termination is necessary to comply with applicable law or protect the Site or Service. Where reasonably practicable, Athenic AI may provide notice of material changes to the Site or Service through the Site, Service, email, or other electronic communications.
These Terms commence when you first access or use the Site or Service and remain in effect until terminated in accordance with these Terms. You may stop using the Site or Service or terminate your account at any time. Athenic AI may suspend or terminate your access to all or any part of the Site or Service at any time, with or without notice, if Athenic AI reasonably determines that: (i) you have violated these Terms; (ii) your use of the Site or Service creates legal, operational, reputational, or security risk; (iii) your use may adversely impact the Site, Service, other users, or third parties; (iv) you fail to pay applicable fees; or (v) suspension or termination is necessary to comply with applicable law or protect the Site or Service. Athenic AI may also discontinue all or any part of the Site or Service at any time. Where Athenic AI terminates paid access to the Service without cause, Athenic AI may provide a pro rata refund of prepaid and unused fees, if applicable.
Upon termination: (a) your right to access and use the Site and Service will immediately terminate; (b) you must cease use of the Site and Service; and (c) any outstanding payment obligations will remain due and payable. You are responsible for exporting, retrieving, or otherwise retaining your Content prior to termination or discontinuation of the Service. Following termination or expiration, Athenic AI may retain, delete, or destroy Content in accordance with these Terms, the Privacy Policy, applicable law, and Athenic AI's standard retention practices. Notwithstanding the foregoing, Athenic AI may retain: (1) aggregated, anonymized, or deidentified information; (2) telemetry, usage analytics, operational, and security data; (3) archival or backup copies; and (4) information required for legal, compliance, dispute resolution, fraud prevention, security, enforcement, or recordkeeping purposes.
You may not assign, transfer, delegate, or otherwise transfer these Terms or any rights or obligations under these Terms without Athenic AI's prior written consent. Any attempted assignment or transfer in violation of the foregoing will be null and void. Athenic AI may assign, transfer, or delegate these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, asset sale, or operation of law. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective permitted successors and assigns.
Athenic AI may provide notices, disclosures, and other communications to you electronically, including by email, through the Site or Service, through your User Account, or through other electronic means. Any legal notices to Athenic AI must be sent to: legal@athenic.com. Electronic notices will be deemed given when sent or made available through the Site, Service, User Account, or other electronic communication method used by Athenic AI.
Neither party will be liable for any delay, failure, or interruption in performance resulting from causes beyond its reasonable control, including failures of telecommunications, internet services, hosting providers, utilities, labor disputes, acts of God, natural disasters, war, terrorism, civil unrest, governmental actions, cyberattacks, or failures of third-party service providers. Nothing in this section excuses your obligation to pay applicable fees owed under these Terms.
These Terms and any dispute arising out of or relating to the Site, Service, or these Terms will be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
YOU AND ATHENIC AI AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THE SITE, SERVICE, OUTPUT, CONTENT, OR THESE TERMS, INCLUDING THEIR VALIDITY, ENFORCEMENT, OR TERMINATION (COLLECTIVELY, "DISPUTES"), WILL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, EXCEPT AS EXPRESSLY PROVIDED BELOW.
YOU AND ATHENIC AI EACH WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its applicable rules and procedures. The arbitration will take place in San Francisco, California. The arbitrator will have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or any part of this provision is void or voidable. Nothing in this section prevents either party from: (i) seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction; (ii) pursuing eligible claims in small claims court; or (iii) seeking to protect intellectual property rights, confidential information, or other proprietary rights.
If any portion of this arbitration provision is found unenforceable, the unenforceable portion will be severed, and the remaining portions will remain in full force and effect, except that if the class action waiver is found unenforceable, then this entire arbitration provision will be null and void. If this arbitration provision is found unenforceable or otherwise inapplicable, then any Dispute will be resolved exclusively in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction and venue of those courts. This section survives termination of these Terms.
Except as expressly provided in these Terms, these Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Athenic AI's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision. Any provisions of these Terms that by their nature should survive termination or expiration will survive, including provisions relating to intellectual property, Content, disclaimers, limitations of liability, indemnification, dispute resolution, payment obligations, and any accrued rights or obligations. These Terms, together with the Privacy Policy and any additional terms or policies incorporated by reference, constitute the entire agreement between you and Athenic AI regarding the Site and Service and supersede all prior or contemporaneous agreements, communications, or understandings relating to the subject matter of these Terms. Athenic AI may modify or update these Terms from time to time in accordance with these Terms. Your continued access to or use of the Site or Service following the effective date of updated Terms constitutes your acceptance of the updated Terms.
